Marketing Services Agreement

This Marketing Services Agreement, the “Agreement”, is entered into between Wealthlink Media LLC, hereinafter referred to as the “Service Provider”, and the undersigned client, hereinafter referred to as the “Client”. Collectively, the Service Provider and Client are referred to as the “Parties”.

By executing this Agreement, the Client acknowledges that they have read, understood, and agreed to all terms and conditions contained herein. This Agreement becomes effective as of the date of the Client’s electronic or written acceptance, the “Effective Date”.

1. Scope of Services

Wealthlink Media provides marketing, digital optimization, and system management services intended to support online visibility and operational consistency.

Services may include, but are not limited to, the following depending on the selected service tier:

Google Business Profile optimization, including posts, reviews, and insights
SEO foundational setup, including keyword research, technical optimization, citations, and backlink groundwork
Content creation and blog publishing, up to two times per week when included in the selected plan
CRM setup, optimization, and automation of SMS and email follow up campaigns
Review integration and reputation management system setup

Timeline

Initial setup services are typically completed within approximately three 3 weeks, provided the Client supplies all requested materials, approvals, and access credentials in a timely manner.

Ongoing Management

Where applicable, ongoing management may include:

Continued Google Business Profile optimization and website updates
Campaign monitoring and performance tracking
Access to a live dashboard for leads, reviews, communications, and funnels

2. Client Requirements

The Client agrees to:

Complete all onboarding forms within five 5 business days
Provide required assets including logos, images, credentials, and business information
Maintain open and timely communication throughout service delivery

If requested materials or communication are not provided for a period exceeding thirty 30 days, Wealthlink Media reserves the right to pause or terminate services.

3. Google Business Profile Setup and Verification

If the Client does not have an existing Google Business Profile, Wealthlink Media may assist with profile creation and verification.

The Client understands that Google may require video verification, documentation, or other validation methods outside the control of Wealthlink Media.

Google may suspend or unverify a profile without notice. Wealthlink Media will assist with reinstatement, provided the Client supplies requested documentation, which may include:

Proof of business registration
Utility bills reflecting the business address
Business license or signage photos

Wealthlink Media is not responsible for ranking or visibility loss caused by Google actions, Client non cooperation, or unverifiable information.

4. Client Modifications and SEO Disclaimer

Unauthorized changes made by the Client or third parties to the website, Google Business Profile, CRM, or related systems may negatively impact performance.

Wealthlink Media is not liable for reduced visibility, rankings, or lead volume resulting from such changes.

5. Compensation and Payment Terms

Full Service Plan

997 setup fee due prior to project commencement
997 recurring every thirty 30 days thereafter

Maintenance and Optimization Plan

297 recurring every thirty 30 days

Payments renew automatically and may be canceled with at least seven 7 days written notice prior to the next billing cycle.

Results Disclaimer

The Client understands that marketing results vary. Rankings, traffic, and lead volume depend on competition, market conditions, and Client participation.

Wealthlink Media does not guarantee specific rankings, traffic levels, leads, revenue, or performance outcomes.

6. Maintenance and Optimization Plan Details

The 297 per month Maintenance and Optimization Plan includes:

Website optimization and management
Website hosting and technical maintenance
CRM monitoring and automation support
Google Business Profile posting once every three 3 days
Five star review campaign management

This plan is for maintenance and consistency only.

It does not include full SEO strategy, backlink campaigns, blog writing, ranking guarantees, paid ads management, or advanced lead generation unless added in writing.

7. Optional Add On, Expanded Google Business Profile Optimization

Clients on the 297 plan may add expanded Google Business Profile optimization for:

500 one time payment
or
250 upfront with 891 billed every three 3 months

Services not listed in this Agreement are not included unless agreed to in writing.

8. Website Ownership, Transfer, and Buyout

Websites built under either the 997 Full Service Plan or the 297 Maintenance Plan are created without a separate upfront website build charge.

Because there is no upfront website build fee, the website remains the property of Wealthlink Media unless purchased under the buyout option below.

Website Buyout Option

Clients on either plan may purchase full ownership of the website at any time for a one time fee of 500.

After payment:

Ownership of the website design and written content transfers to the Client
Access credentials and necessary files will be provided

This does not include proprietary templates, CRM systems, automations, internal systems, or third party licensed tools.

Website Transfer Fee

If the Client cancels services and wants the website moved to a new hosting provider without completing the 500 buyout, a 500 website transfer fee will apply.

This fee covers file preparation, credential release, and technical migration support.

The website transfer will be completed after the 500 transfer fee is paid.

9. Satisfaction Policy and Refund Disclaimer

Wealthlink Media does not offer performance based guarantees.

Refunds are evaluated only on whether agreed services were delivered, not on rankings, traffic, leads, or revenue.

10. Term and Termination

This Agreement operates on a month to month basis.

You can cancel anytime with no additional cost by providing at least seven 7 days written notice before your next billing date.

Wealthlink Media may terminate services with seven 7 days written notice.

Retention Option

After cancellation, the Client may keep hosting, CRM access, and system maintenance for 297 per month.

If the Client does not retain services and has not completed the 500 buyout or paid the 500 transfer fee, the website remains the property of Wealthlink Media.

Ownership automatically transfers after four 4 consecutive months of full 997 payments if the account remains in good standing.

11. Ownership and Intellectual Property

All websites, campaigns, CRM systems, templates, workflows, and automations remain the property of Wealthlink Media until ownership transfer conditions are met.

12. Confidentiality

Both Parties agree to keep proprietary information confidential.

13. Indemnification

The Client agrees to hold harmless Wealthlink Media from claims arising from misuse of services or Client provided content.

14. Limitation of Liability

Wealthlink Media is not liable for indirect or consequential damages.

Total liability shall not exceed the amount paid by the Client within the previous sixty 60 days.

15. Force Majeure

Neither party is liable for delays caused by events beyond reasonable control.

16. Independent Contractor Status

This Agreement does not create a partnership or employment relationship.

17. Non Disparagement

The Client agrees not to publicly disparage Wealthlink Media.

18. Dispute Resolution and Arbitration

Disputes will first be addressed through informal discussion.

If unresolved, disputes will be settled through binding arbitration in Arizona. Each party pays its own legal costs.

19. Governing Law

This Agreement is governed by the laws of the State of Arizona. Venue lies in Maricopa County, Arizona.

20. Entire Agreement

This Agreement represents the entire understanding between the Parties.

21. Severability

If one provision is unenforceable, the remaining provisions remain valid.
